1. Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the website located at vachelfarms.com and any related services, communications, products, and content (collectively, the "Services") offered by Backyard Bougie, Inc., a California corporation, doing business as Vachel Heritage Egg Co. ("Vachel," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Vachel Heritage Egg Co. is a brand of Backyard Bougie, Inc., a small family farm operation based in Placerville, California. We produce pasture-raised eggs and related agricultural products. 3. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services or to make a purchase. By using the Services you represent and warrant that you meet this requirement and that all information you submit is accurate, current, and complete.
4. Pre-Launch & Waitlist
Vachel Heritage Egg Co. is currently in a pre-launch phase. By submitting your email address through our waitlist form, you authorize us to contact you regarding product availability, lab-testing results, launch announcements, and related updates. You may unsubscribe at any time by following the instructions in any email we send.
Joining the waitlist does not create a binding contract for sale, does not reserve product, and does not entitle you to any specific price, discount, or quantity.
5. Products, Lab Testing & Health Claims
We are committed to transparency about what we sell. Independent third-party laboratory testing is conducted to verify the nutritional profile of our eggs. Lab results, when published, reflect the specific batch tested and may not be representative of every batch sold.
Statements made about our products, including but not limited to references to Omega-3 content, nutritional benefits, or pasture-raised practices, have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Consult a licensed healthcare professional before making dietary changes based on nutritional content.
Allergen and food-safety notice: Eggs are a known major food allergen. Eggs are a perishable agricultural product and are sold in their natural shell. We make no representation that any egg is free of pathogens. Cook eggs thoroughly. Do not consume cracked, damaged, or expired eggs.
6. Orders, Pricing & Availability
If and when we begin accepting orders through the Services, the following will apply unless otherwise stated at checkout:
- All prices are listed in U.S. dollars and exclude applicable taxes, shipping, and handling.
- We reserve the right to refuse, cancel, or limit any order at our sole discretion, including for suspected fraud, pricing errors, or supply limitations.
- An order is not accepted until we send a written confirmation. Submission of an order constitutes an offer to purchase, which we may accept or reject.
- Availability is not guaranteed. Production volume from a small family farm is inherently limited.
7. Returns, Refunds & Replacements
Because eggs are a perishable agricultural product, all sales are final and we do not accept returns. If your order arrives damaged or fails to meet our quality standards, contact us within forty-eight (48) hours of delivery at info@thebackyardbougie.com with a photograph and a description of the issue. We may, at our sole discretion, issue a replacement, partial refund, or store credit.
8. Shipping, Delivery & Local Pickup
Where shipping or local pickup is offered, terms including delivery windows, geographic eligibility, and risk of loss will be displayed at checkout. Risk of loss passes to you upon delivery to the carrier or upon pickup, whichever applies.
9. Email & SMS Communications
By providing your email address or phone number, you consent to receive transactional communications related to your account, waitlist, or order. With your separate, affirmative consent, you may also receive marketing communications. Marketing messages may be unsubscribed from at any time. Standard message and data rates may apply to SMS.
10. User-Generated Content
If you submit reviews, comments, photographs, social media tags, or other content related to Vachel ("User Content"), you grant Backyard Bougie, Inc. a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, and display such User Content in any medium, including marketing materials. You represent that you own or have the rights to grant this license and that the User Content does not violate any law or third-party right.
11. Intellectual Property
All content on the Services — including the Vachel Heritage Egg Co. name, logo, crest, photography, graphics, copy, and design — is owned by Backyard Bougie, Inc. or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of any portion of the Services without our prior written consent, except as expressly permitted under fair use.

The Services may contain links to or rely upon third-party services (including, without limitation, our hosting provider, customer relationship management platform, email and SMS providers, payment processor, and analytics providers). We are not responsible for the content, policies, or practices of any third-party service.
14. Disclaimers
THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM US OR THROUGH THE SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BACKYARD BOUGIE, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR ANY PRODUCT.
OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT SHALL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) ONE HUNDRED U.S. DOLLARS ($100).
16. Indemnification
You agree to indemnify, defend, and hold harmless Backyard Bougie, Inc. and its officers, directors, employees, agents, and affiliates from any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Services, (b) your breach of these Terms, (c) your violation of any law or third-party right, or (d) any User Content you submit.
17. Governing Law & Venue
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Subject to the dispute-resolution section below, the exclusive venue for any action arising out of or relating to these Terms shall be the state or federal courts located in El Dorado County, California, and you consent to personal jurisdiction in those courts.
18. Dispute Resolution
Before filing any formal claim, you agree to first contact us at info@thebackyardbougie.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days. [Pending attorney review: optional binding arbitration and class-action waiver clauses to be considered.]
19. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date and, where appropriate, by additional notice. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
20. Severability & Entire Agreement
If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements on the same subject matter.
